End User License Agreement

Effective Date: February 23, 2026

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Gyre Holdings LLC, doing business as Career Launch Services ("Company", "we", "us", or "our"). By accessing or using the Career Launch Services platform, including the website, web application, APIs, and all related services (collectively, the "Software"), you agree to be bound by this EULA. If you do not agree, do not access or use the Software.

2. License Grant

Subject to your compliance with this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal, non-commercial career development purposes. This license does not include the right to:

  • Copy, modify, or distribute any part of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, sell, or sublicense access to the Software
  • Use the Software to build a competing product or service
  • Remove or alter any proprietary notices, labels, or marks
  • Use automated tools (bots, scrapers, crawlers) to access the Software

3. Account Registration

To use the Software, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@careerlaunchservices.com if you suspect unauthorized access to your account.

4. Subscription and Payment

Access to certain features of the Software requires a paid subscription. By subscribing, you agree to pay the applicable fees as displayed at the time of purchase. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. All payments are processed securely through Stripe. Refunds are handled in accordance with our refund policy.

5. AI-Generated Content

The Software uses artificial intelligence to provide career coaching, resume feedback, interview practice, and other guidance. You acknowledge and agree that:

  • AI-generated content is provided for informational and educational purposes only
  • AI output may contain errors or inaccuracies and should not be relied upon as professional, legal, or employment advice
  • You are solely responsible for reviewing, verifying, and deciding how to use any AI-generated content
  • We do not guarantee that following AI recommendations will result in employment or any specific outcome
  • Your inputs to the AI (resume text, interview responses, etc.) are processed to generate responses but are not used to train AI models

6. User Content

You retain ownership of all content you create or upload to the Software ("User Content"), including resumes, cover letters, and profile information. By using the Software, you grant us a limited license to store, process, and display your User Content solely to provide the Service to you. We will not share your User Content with third parties except as described in our Privacy Policy.

7. Intellectual Property

The Software, including all code, design, text, graphics, logos, icons, algorithms, and documentation, is the exclusive property of Gyre Holdings LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. This EULA does not transfer any ownership rights to you. The Career Launch Services name, logo, and all related marks are trademarks of Gyre Holdings LLC.

8. Job and Internship Listings

The Software aggregates job and internship listings from third-party sources. We do not guarantee the accuracy, completeness, or availability of any listing. We are not a party to any employment relationship and are not responsible for hiring decisions, job offers, or workplace conditions. Listings may be removed or modified at any time without notice.

9. Acceptable Use

You agree not to use the Software to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Software or its infrastructure
  • Interfere with or disrupt the Software or servers
  • Impersonate another person or entity
  • Use the Software for any fraudulent or deceptive purpose
  • Harvest or collect information about other users

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYRE HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gyre Holdings LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of this EULA, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Software at any time, with or without cause, with or without notice. Upon termination, your license to use the Software immediately ceases. You may terminate your account at any time by contacting support@careerlaunchservices.com. Sections 7, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to this EULA shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware. You agree to waive any right to a jury trial or to participate in a class action.

15. General Provisions

  • Entire Agreement: This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and the Company regarding the Software.
  • Severability: If any provision of this EULA is held unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer this EULA. We may assign our rights and obligations without restriction.
  • Modifications: We reserve the right to modify this EULA at any time. Material changes will be communicated by posting the updated EULA with a revised effective date. Continued use of the Software after changes constitutes acceptance.
